Welcome to Pixelwall. By accessing our website at pixelwall.ca or engaging any of our services, you agree to be bound by the terms outlined in this Legal Policy. Please read this document carefully before proceeding.

This policy applies to all visitors, clients, and parties who interact with Pixelwall in any capacity — including but not limited to website visitors, project clients, and newsletter subscribers. If you do not agree with any part of this policy, please discontinue use of our website and services immediately.

Pixelwall reserves the right to update this policy at any time. Your continued engagement with our services following any posted update constitutes your acceptance of the revised terms.

All content published on pixelwall.ca — including but not limited to logos, wordmarks, written copy, photography, graphic design, user interface designs, source code, and proprietary systems such as Danju CMS — is the exclusive intellectual property of Pixelwall unless explicitly stated otherwise in a signed written agreement.

You may not reproduce, distribute, modify, publicly display, or create derivative works from any Pixelwall content without prior written consent. Unauthorised use will be pursued to the fullest extent permitted under Canadian intellectual property law.

Client-owned deliverables: Upon receipt of full payment, clients receive a licence to use the final deliverables as agreed in the project scope. Pixelwall retains the right to display completed work in its portfolio unless a written non-disclosure agreement has been executed.

Third-party assets incorporated into client projects (stock photography, licensed typefaces, open-source libraries) remain subject to their respective licences. Pixelwall will disclose all third-party dependencies at project handoff.

By engaging Pixelwall's services, you agree to the following conditions of use:

• Abide by all applicable federal, provincial, and municipal laws and regulations in Canada and your jurisdiction of operation.
• Not engage in fraudulent, abusive, defamatory, or illegal activities using any Pixelwall-built platform or asset.
• Refrain from attempting to reverse-engineer, decompile, or circumvent any proprietary system, including Danju CMS, without prior written authorisation.
• Provide accurate, complete, and up-to-date information when requesting services, submitting forms, or entering into agreements with Pixelwall.
• Not use Pixelwall services to transmit unsolicited communications, spam, or malicious software of any kind.
• Respect the privacy, intellectual property, and legal rights of third parties in all content submitted or published through Pixelwall-managed platforms.

Pixelwall reserves the right to refuse service, at its sole discretion, to any individual or organisation whose requests conflict with these terms or the values of the company.

All fees for Pixelwall services are outlined in the project proposal or service agreement provided prior to commencement of work. The following payment conditions apply to all engagements:

• A deposit — typically 50% of the total project value — is required before any design or development work begins.
• The remaining balance is due upon project completion and prior to final delivery of files, credentials, or live deployment.
• Invoices are payable within 14 calendar days of the invoice date unless otherwise agreed in writing.
• Late payments beyond 14 days may be subject to a late fee of 2% per month on the outstanding balance.
• Pixelwall reserves the right to suspend ongoing services or withhold deliverables until outstanding balances are settled.
• All prices are quoted in Canadian dollars (CAD) and are exclusive of applicable taxes unless otherwise stated.

Refund requests are evaluated on a case-by-case basis. Deposits are non-refundable once project work has commenced. Disputes regarding invoices must be raised within 7 days of the invoice date.

Pixelwall provides services on an "as-is" and "as-available" basis. While we take every reasonable measure to deliver high-quality, reliable work, we make no warranties — express or implied — regarding the completeness, accuracy, or fitness for purpose of our services or deliverables.

To the maximum extent permitted by applicable law, Pixelwall shall not be held liable for:

• Any direct, indirect, incidental, special, or consequential damages arising from your use of our services or website.
• Loss of revenue, data, business opportunities, or goodwill, even if Pixelwall has been advised of the possibility of such damages.
• Downtime, data loss, or service interruptions caused by third-party hosting providers, domain registrars, or CDN services.
• Security vulnerabilities introduced through client-supplied content, third-party plugins, or systems outside of Pixelwall's direct control.
• Search engine ranking changes, algorithm updates, or performance outcomes related to SEO services — as these are subject to external factors beyond our control.

Our total aggregate liability for any claim arising from a Pixelwall engagement shall not exceed the total fees paid by the client for the specific service giving rise to the claim.

Pixelwall is committed to protecting the personal information of all clients, visitors, and contacts. We collect, use, and disclose personal information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable British Columbia privacy legislation.

By submitting a contact form, requesting a quote, or engaging our services, you consent to the collection and use of your information as described in our Privacy Policy.

Either party may terminate an ongoing service engagement by providing written notice. The following conditions may result in immediate termination by Pixelwall, without prior notice:

• Material violation of any term within this Legal Policy or the signed service agreement.
• Detection of fraudulent, abusive, or harmful activities associated with the client account or Pixelwall-managed platforms.
• Non-payment of outstanding invoices beyond 30 days past the due date.
• Requests to produce content that is illegal, defamatory, discriminatory, or otherwise harmful.
• Circumstances that create reputational, legal, or ethical risk for Pixelwall or its team.

Upon termination, Pixelwall will provide completed deliverables for all work paid to date. Access to Danju CMS or any managed hosting environment will be transferred or terminated as agreed. Any outstanding balances remain due regardless of the reason for termination.

Pixelwall projects may incorporate third-party tools, platforms, and services including but not limited to Cloudflare, Google Analytics, payment gateways, social media APIs, and stock asset libraries. These services operate under their own terms of service and privacy policies, which are independent of Pixelwall.

Pixelwall is not responsible for the practices, availability, or content of third-party services. Clients are encouraged to review the terms and privacy policies of any third-party services integrated into their project before going live.

This Legal Policy and all agreements entered into with Pixelwall shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein.

Any dispute, claim, or controversy arising from or relating to this policy, or the breach thereof, shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada. Both parties consent to personal jurisdiction in those courts.

Pixelwall encourages resolution of disputes through good-faith negotiation before pursuing formal legal proceedings. Clients may contact us directly at [email protected] to initiate a resolution process.

Pixelwall reserves the right to modify this Legal Policy at any time. Changes will be posted to this page with an updated effective date. Material changes may also be communicated to active clients by email.
